Ensure compliance with the Companies Act, SEBI regulations, MCA requirements, and other applicable laws.
Maintain statutory registers, records, and filings with regulatory authorities.
Monitor changes in legislation and advise management and the Board accordingly.
Organize and manage Board, Committee, and General Meetings.
Prepare agendas, notes, minutes, and resolutions.
Ensure timely circulation of meeting documents and follow-up on action items.
File annual returns, financial statements, and other statutory documents.
Liaise with ROC, SEBI, stock exchanges (if applicable), auditors, and regulators.
Handle share allotments, transfers, ESOPs, dividends, and capital restructuring.
Act as a key advisor to the Board on governance, compliance, and legal matters.
Support strategic initiatives such as mergers, acquisitions, fundraising, and corporate restructuring.
Ensure compliance with internal policies, code of conduct, and ethical standards.
Assist in implementing risk management and compliance frameworks.
Coordinate with external consultants, legal advisors, auditors, and internal departments.
Address shareholder queries and investor communications where applicable.
Qualified Company Secretary (Member of ICSI).
Bachelor’s degree in Commerce, Law, or related field (preferred).
3–8 years of relevant experience (flexible based on role level).
Strong knowledge of corporate laws, compliance, and governance practices.
Excellent communication and drafting skills.
Strong organizational and time-management abilities.
High attention to detail and confidentiality.
Ability to work closely with senior management and Board members.
Proficiency in MS Office and compliance tools.
